By accessing and using the GradeCircle website (the "Website") and our services (collectively, the "Services"), you accept and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Services.

GradeCircle provides strategic decision simulators, consulting and workshop facilitation, and information about our portfolio of applications and services. Our Services include, but are not limited to:

• Strategic Simulators and Consulting: Interactive decision simulators (e.g., capital allocation, market entry, M&A, data strategy, operational resilience) and related consulting, assumption validation, scenario workshops, and simulation-as-a-service offerings
• Applications Portfolio: Information about our applications and ventures across healthcare, legal, financial, government, tech, and emerging markets
• Client Portal: Invitation-based access for client organizations to use designated simulators, materials, and support features
• Website and Content: Public and gated content, blog, service and application pages, and contact, consulting, and investor interest forms
• Contact and Communication: Contact forms, consulting requests, investor interest submissions, and related follow-up communications

2.1 Scope of Services

Access to the client portal and certain simulators or materials may be subject to separate agreements, invitations, or eligibility. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.

We grant you a limited, non-exclusive, non-transferable license to access and use the Website and (where you have been granted access) the client portal and associated materials for their intended purpose. This is a license, not a transfer of title. Under this license you may not:

• Modify, copy, or create derivative works from our materials, simulators, or content
• Use the materials for any commercial purpose or public display outside the scope we permit (e.g., internal use within your organization where access has been granted)
• Attempt to reverse engineer, decompile, or extract source code from any software or simulator on the Website or portal
• Remove any copyright, trademark, or other proprietary notices from our materials
• Transfer, sublicense, or "mirror" the materials or portal access to any other person or server without our consent

This license terminates automatically if you breach these restrictions and may be terminated by GradeCircle at any time. Portal access may also be subject to additional terms communicated at invitation or in the portal.

Some features of our Services, including the client portal, require an account. When you create or use an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and not share it with others
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4.1 Client Portal and Invitation-Based Access

Access to the client portal is by invitation only. If you accept an invitation, you must use the portal only for the organization and purposes for which you were invited. You may not share invitation links or credentials with unauthorized persons, or use the portal in a manner that violates these Terms or the rights of GradeCircle or other users. Your access may be tied to your organization; if your association with that organization ends, we may suspend or terminate your portal access.

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit any harmful, offensive, or illegal content
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services (including the client portal or other users' accounts)
• Share, sell, or misuse invitation links or portal access; or use the portal for any organization or purpose other than that for which you were invited
• Use automated systems (bots, scrapers, or similar) to access the Services without our prior permission
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

The Services and their original content, features, and functionality are and will remain the exclusive property of GradeCircle and its licensors. The Services are protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

The materials on GradeCircle's Website are provided on an "as is" basis. GradeCircle makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, GradeCircle does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Website or otherwise relating to such materials or on any sites linked to this site.

In no event shall GradeCircle or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on GradeCircle's Website, even if GradeCircle or a GradeCircle authorized representative has been notified orally or in writing of the possibility of such damage.

Our Services may contain links to third-party websites or services that are not owned or controlled by GradeCircle. GradeCircle has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that GradeCircle shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

You agree to defend, indemnify, and hold harmless GradeCircle and its officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, violation of these Terms, or violation of any rights of another.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.

These Terms shall be interpreted and governed by the laws of the jurisdiction in which GradeCircle operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services.
